These Terms & Conditions ("Terms") govern your use of the SUBHII.AI website and the engagement of any IT services, cyber security services, or AI banking & finance solutions ("Services") provided by Nexinfo IT Solution Private Limited ("Company", "we", "us"), a private limited company registered in Patna, Bihar, India (GSTIN: 10AAKCN5639H1ZH).

By accessing this website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use this website or engage our Services.

1. Services

We provide web and mobile development, enterprise portal and automation engineering, cloud and DevOps, applied AI/ML, cyber security (VAPT, managed SOC, GRC), and AI banking & finance solutions. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal, statement of work, or bill agreed between the Company and the client, which takes precedence over these general Terms where there is a conflict.

2. Fees & Payment

• Fees are quoted in Indian Rupees (₹) and are exclusive of GST unless stated otherwise; GST is charged at the applicable rate (currently 18% under SAC Code 998314 for software development and related IT services).
• Payment terms, milestones, and due dates are as specified in the relevant bill, invoice, or agreement.
• Work may be paused if payment is significantly overdue, with prior written notice to the client.
• Estimates for pending or future work are valid only for the period stated on the estimate document and are not binding until confirmed in writing by the client.

3. Client Responsibilities

The client agrees to provide timely access, credentials, content, and feedback reasonably required for the Company to deliver the Services, and to promptly review and respond to deliverables. Delays caused by the client may extend agreed timelines accordingly.

4. Intellectual Property

Unless otherwise agreed in writing, ownership of custom code, designs, and deliverables created specifically for a client transfers to that client upon full payment. The Company retains the right to reuse general-purpose components, frameworks, and know-how developed independently of client-specific confidential material. Any third-party libraries, tools, or licensed software used remain governed by their respective licences.

5. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during an engagement, and to use it solely for the purpose of that engagement.

6. Warranties & Limitation of Liability

We deliver Services using reasonable professional skill and care in line with prevailing industry standards. Except as expressly agreed in a specific statement of work, Services are provided "as is" without further warranties, express or implied. To the maximum extent permitted by Indian law, the Company's aggregate liability for any claim arising from the Services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim. The Company is not liable for indirect, incidental, or consequential damages, or for third-party costs such as SMS gateways, payment gateway fees, domain/SSL charges, or other third-party API costs, which remain the client's responsibility unless expressly included in scope.

7. Website Use

We reserve the right to update website content, service descriptions, and these Terms at any time without prior notice; continued use of the website after changes constitutes acceptance of the revised Terms.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts at Patna, Bihar, India.

10. Termination

Either party may terminate an ongoing engagement in accordance with the notice period specified in the relevant statement of work or agreement. Fees for work completed up to the date of termination remain payable.
